The following Terms of Service and Privacy Policy (collectively, the "Terms") constitute a legally binding agreement between you, the "Advertiser," and Atrium LLC ("Atrium," "the Company," "we," "us," or "our"). These Terms govern your access to and use of the Atrium application, website, and all associated software, products, and services (collectively, the "Service").
Please review these documents with the utmost care. By accessing, registering for, or utilizing any portion of the Service, you acknowledge that you have read, understood, and voluntarily agree to be bound by these Terms. Your continued use of the platform and any associated backend or optimization services represents an ongoing, affirmative, and irrevocable consent to these conditions and any subsequent updates. These Terms are intended to be the full, final, and complete statement of the agreement between you and Atrium LLC, and to supersede all prior or contemporaneous understandings, agreements, or representations, whether written or oral, as further set forth in Section 11.
1. Eligibility and Account Obligations
To access the Service, you must create an account and provide information that is accurate, current, and complete. If you are accepting these Terms on behalf of a corporation, partnership, or other legal entity, you represent and warrant that you possess the requisite legal authority to bind such entity to these Terms.
The Service may involve the download of software to your hardware (computers, tablets, or mobile devices). You agree that Atrium may automatically implement upgrades or updates to these Products, and that these Terms shall apply to all such modifications. You are responsible for maintaining the confidentiality of your login credentials and are fully liable for all activities that occur under your account.
2. Acknowledgment of Agentic Nature and Operational Risk
The Advertiser explicitly acknowledges that Atrium is an agentic software platform. This means the Service utilizes autonomous or semi-autonomous Artificial Intelligence "agents" to perform complex tasks, including but not limited to, the automation of media buying, creative iteration, and campaign management.
- Acceptance of Risk: The Advertiser recognizes and accepts the inherently risky and experimental nature of utilizing agentic AI for television advertising. The Advertiser understands that AI-driven decisions may result in unpredictable outcomes.
- Disclaimer of Representations: Atrium LLC makes no representations, warranties, or guarantees regarding the accuracy, reliability, or ultimate success of the agentic processes.
- No Responsibility for Placement or Parameters: Atrium LLC holds no liability and assumes no responsibility for:
- The specific placement, timing, or frequency of any advertisement.
- The selection of targeting parameters, audience segments, or demographic filters.
- The generation or selection of creative assets, messaging, or branding.
- Any other technical or strategic element comprising the advertisement that may impact its effectiveness, brand alignment, or financial performance.
3. Total and Complete Waiver of Liability and Financial Responsibility
The Advertiser assumes full, exclusive, and unconditional financial responsibility for all expenditures incurred through the Service. Atrium LLC shall have zero liability for advertising performance, conversion metrics, return on ad spend (ROAS), or any perceived failure of a campaign to meet business objectives.
To the maximum extent permitted by applicable law, in no event shall Atrium LLC, its officers, or its affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages. This includes, without limitation, loss of profits, data, goodwill, or other intangible losses, even if Atrium LLC has been advised of the possibility of such damages.
4. Payment Processing and Finality of Advertising Spend
Atrium LLC utilizes Stripe, Inc. ("Stripe") for payment processing, collection, and financial services outside of direct banking activities.
- Third-Party Processing: All sensitive financial data is collected and processed through Stripe. Atrium LLC disclaims all liability for the misuse, unauthorized access, or inaccurate collection of funds by Stripe or its affiliates.
- Finality of Advertising Spend: All amounts allocated to, reserved for, or expended upon advertising, media, or impressions through the Service constitute a final and irrevocable purchase of media inventory and services. Consistent with standard, customary, and accepted practice throughout the digital, programmatic, and television advertising industry, once advertising impressions have been served and verified — whether such verification is performed by Atrium LLC, its supply, exchange, or broadcast partners, or any third-party measurement provider — the corresponding funds are deemed fully earned by Atrium LLC and are non-cancellable, non-creditable, and non-refundable, in whole or in part. This finality applies irrespective of campaign performance, delivery, outcome, conversion, cost-per-acquisition, return on ad spend, audience or geographic delivery, creative, placement, timing, frequency, or the Advertiser's subjective satisfaction. No refund, credit, rebate, make-good, offset, or reversal of any kind shall be owed or issued for impressions that have been served and verified.
- Acknowledgment Through Continued Use: The Advertiser's continued access to or use of the platform, the Service, or any associated backend, reporting, optimization, or campaign-management services at any time following the serving of impressions constitutes the Advertiser's affirmative, ongoing, and irrevocable acknowledgment of, and agreement to, the finality of advertising spend set forth in this Section, and an express waiver of any claim to refund, credit, cancellation, or reversal with respect thereto.
- No Chargebacks: The Advertiser agrees not to initiate, encourage, or pursue any chargeback, payment reversal, or dispute with any financial institution or payment processor in respect of advertising spend corresponding to impressions that have been served and verified. Any such action constitutes a material breach of these Terms, and the Advertiser shall remain fully liable for the disputed amount together with any resulting fees, costs, and reasonable attorney's fees incurred by Atrium LLC.
- Limited Billing-Error Window: Notwithstanding the foregoing, in the event of a bona fide processing or computational error (such as a duplicate charge or arithmetic miscalculation), the Advertiser must notify Atrium LLC in writing within ten (10) calendar days of the transaction. This narrow window exists solely to correct clerical or processing errors and shall not be construed to create, imply, or preserve any right to a refund, credit, or reversal for advertising spend corresponding to impressions that have been served and verified. Failure to provide such notice within ten (10) calendar days constitutes an irrevocable waiver of any right to dispute the charge.
5. Data Ownership, Utilization, and Privacy
By using the Service, the Advertiser grants Atrium LLC the right to collect and utilize data to improve platform intelligence.
- Performance Mapping: Atrium may use Advertiser-provided data and contextual performance data to better map outcomes and optimize the agentic models.
- Anonymization: All such data is anonymized and classified solely for the purpose of improving targeting and system efficiency. Atrium will not sell your raw, identifiable data to third parties.
- Tracking Containers: Atrium utilizes data containers for tracking tags. This data is collected to furnish information that assists the agentic software in decision-making.
- Opt-Out Rights: Advertisers may elect to opt out of furnishing such tracking information. To exercise this right, the Advertiser must reach out directly to Atrium at team@atrium.run.
6. Indemnification
The Advertiser agrees to indemnify, defend, and hold harmless Atrium LLC and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:
- Your use of and access to the Service.
- Any Content you upload or create, including claims of defamation, copyright, or trademark infringement.
- Your violation of any term of these Terms or any applicable law or regulation.
7. Service Availability and "As Is" Disclaimer
Atrium LLC provides the Service on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Atrium LLC does not warrant that the Service will meet your specific requirements or that the operation of the Service will be uninterrupted or error-free. We reserve the right to modify, limit, or discontinue any aspect of the Service at our sole discretion, without prior notice.
8. Intellectual Property Rights
All right, title, and interest in the Service (excluding Advertiser-provided content) are and will remain the exclusive property of Atrium LLC. You are granted a limited, non-assignable, and revocable license to use the software provided to you. You may not replicate, decompile, or reverse-engineer any aspect of the Atrium platform or its brand identity without express written consent from Atrium LLC.
9. Governing Law and Mandatory Arbitration
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by binding arbitration conducted by a mutually acceptable dispute resolution service in Laramie County, Wyoming. You hereby waive your right to a trial by judge or jury and agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class or representative action.
10. Amendments and Termination
Atrium LLC reserves the right to amend these Terms at any time. It is your responsibility to review these Terms periodically. Your continued use of the Service following the posting of changes will mean that you accept and agree to the revisions. We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users or the business interests of Atrium LLC.
11. Entire Agreement; Full and Final; Supersession
These Terms constitute the entire, full, and final agreement between the Advertiser and Atrium LLC with respect to the Service, and supersede, replace, and extinguish any and all prior or contemporaneous agreements, understandings, negotiations, arrangements, representations, warranties, proposals, communications, or statements of any kind, whether written or oral, express or implied, relating to the subject matter hereof.
No verbal representation, email, text message, side letter, purchase order, insertion order, course of dealing, course of performance, or trade usage shall amend, contradict, supplement, or supersede these Terms, and the Advertiser acknowledges that it has not relied upon any statement, promise, or representation not expressly set forth herein. In the event of any conflict or inconsistency between these Terms and any other document, communication, or agreement — whether written or oral, and whether made before or after the effective date hereof — these Terms shall govern and control in all respects. These Terms may be amended only by Atrium LLC in accordance with Section 10, and no waiver of any provision shall be effective unless set forth in a writing signed by an authorized officer of Atrium LLC. Should any provision of these Terms be held unenforceable, the remaining provisions shall continue in full force and effect.
By utilizing the Atrium LLC platform, you signify your irrevocable acceptance of these Terms of Service in their entirety, including, without limitation, the finality of all advertising spend once impressions are served and verified as set forth in Section 4, and the full, final, and superseding nature of these Terms as set forth in Section 11.
